User Obligations

By using our services, you agree to:

Payment Terms

  • All fees are quoted in Euros (EUR) unless otherwise specified
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges as permitted by Austrian law
  • All prices exclude VAT, which will be added where applicable
  • We reserve the right to suspend services for overdue payments

Intellectual Property

All intellectual property rights in our analytics dashboards, software, documentation, methodologies, and related materials remain the exclusive property of garvosteli.top AG or our licensors.

Our Rights

  • We retain all rights, title, and interest in our proprietary technology and services
  • Our software, algorithms, and dashboard designs are protected by copyright and other intellectual property laws

Service Availability and Performance

Limitation of Liability

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Cost of substitute services or products

Limitation of Total Liability

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for our services in the 12 months preceding the event giving rise to the claim.

Exceptions

Nothing in these Terms shall limit our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Breach of confidentiality obligations
  • Any other liability that cannot be excluded under Austrian law

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

Termination

Either party may terminate the service relationship under the following circumstances:

Termination for Convenience

  • Either party may terminate with 30 days' written notice
  • Termination does not affect obligations arising before the termination date
  • You remain responsible for payment of all fees incurred before termination

Termination for Cause

We may terminate immediately if you:

  • Materially breach these Terms and fail to remedy the breach within 14 days of notice
  • Fail to pay undisputed fees within 60 days of the due date
  • Engage in illegal or harmful activities using our services
  • Become insolvent or enter bankruptcy proceedings

Effect of Termination

Upon termination:

  • Your access to our services will be discontinued
  • We will provide you with your data in a commonly used format
  • Confidentiality obligations will survive termination
  • Payment obligations for services rendered will remain due

Force Majeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, government actions, pandemics, or significant infrastructure failures. The affected party must notify the other party promptly and use reasonable efforts to mitigate the impact.

Governing Law

These Terms are governed by and construed in accordance with the laws of Austria. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Graz, Austria.

Dispute Resolution

We encourage resolving disputes through direct communication. If a dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the Rules of Arbitration of the Vienna International Arbitral Centre (VIAC), with the seat of arbitration in Vienna, Austria.

Modifications and Updates

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a new "Last updated" date. We will notify you of material changes via email or prominent notice on our website. Your continued use of our services after the effective date constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and garvosteli.top AG regarding our services and supersede all prior or contemporaneous communications and proposals.
